THE HOME DEPOT RETOOL YOUR SCHOOL GRANT PROGRAM (THE “RULES”)

RETOOL YOUR SCHOOL (RYS) INTRODUCTION 
The 2023 Home Depot RETOOL YOUR SCHOOL Grant Program (“Program”) is designed by Home Depot Store Support, Inc. (“Sponsor” or “Home Depot”) to encourage and recognize innovative projects that contribute to the campuses of accredited Historically Black Colleges and Universities (“HBCUs”). 

Accredited HBCUs (“Respondents”) are invited to submit proposals for projects (“Proposals”) in accordance with the requirements set forth below. 

This year’s Program will present an opportunity for HBCUs to apply for three (3) different grants (collectively, “Grants”)

  • Campus Improvement Grant (“CIG”)
  • Innovation Lounge Grant (“ILG”)
  • Community Project Grant (“CPG”)

The guidelines for each grant are outlined below.

IMPORTANT NOTICE: ALL TIMES PROVIDED IN THESE RULES ARE EASTERN STANDARD TIMES IN THE U.S.A. RESPONDENTS ARE RESPONSIBLE FOR DETERMINING THE CORRESPONDING TIME ZONE IN THEIR RESPECTIVE JURISDICTIONS.

RETOOL YOUR SCHOOL PROGRAM OFFICIAL ENTRY
On January 9, 2023, Sponsor will send an electronic mail communication to the President and school contacts (“School Administrator”) from its list of Respondents soliciting their consideration to participate in the Program (the “eBlast”). The eBlast will contain a link which will direct the Respondent to a personalized webpage wherein the Respondent can choose to apply to one, two, or all of the grant options via a Program application. The eBlast will also contain a link to sign up for a webinar where the school administrator will be trained on the application process, requirements, and deadlines. There will be five webinar dates for the school administrator to choose from. If a Respondent School Administrator does not receive the eBlast and wishes to apply to the Program, they should contact the Retool Your School contacts listed below.

Retool Your School Contacts 

Within the application, a School Administrator must provide their primary contact information as well as the official school seal and logo to be included on the website for voting. Any questions regarding the application should be directed to the Retool Your School Contacts. Applications must be submitted between Monday, January 9, 2023, at 12:00 a.m. (midnight) EST and Friday, February 10, 2023, at 11:59 p.m. EST. By entering the Program, Respondents are included in the HBCU Online Voting Challenge (described below).

RETOOL YOUR SCHOOL ELIGIBILITY 
Respondents must meet the following criteria at the time of Program entry and throughout administration of the Grants: 

a. Show proof of accredited HBCU status, as determined by the U.S. Department of Education. 

b. Have a tax identification number. Void where prohibited. 

c. **SPECIAL NOTE FOR 2022 PROGRAM WINNERS – **Winners of CIG for the 2022 Program are eligible to participate in the 2023 Program ONLY if (1) they provide proof of a completed project and submit before and completion status photos of 2022 project implementation or (b) obtain extension approval to complete their 2022 project by December 31, 2022. 

d. Respondents must have access to the internet, have a School Administrator and a valid email address to participate. 

CAMPUS IMPROVEMENT GRANT FUNDS
Thirty (30) Campus improvement grants (collectively, “CIGs”) ranging between the amounts of $40,000 – $150,000 USD will be awarded to each of the winning schools in the three (3) Clusters (as defined below under section: Campus Improvement Grant Online Voting Challenge)

CIGs will be awarded to Respondents between Wednesday April 12, 2023 – Friday, April 28, 2023. Please note that these dates are subject to change in Sponsor’s sole discretion. On the same announcement dates, Respondents will also be notified via the e-mail address provided in their Proposal.  Winning CIG Respondents are hereinafter collectively referred to as “CIG Grantees”. CIG Grantees can receive only one CIG. 

The CIGs will total $2,010,000 USD. All CIG Grantees must execute their projects on or before December 31, 2023, unless a written extension is submitted, and approval is granted by the Sponsor. Any extension approval shall be in the Sponsor’s sole discretion.

CAMPUS IMPROVEMENT GRANT ONLINE VOTING CHALLENGE 
Respondents that enter the Program by the listed deadline will compete for the most online votes via the Site, social media (Twitter and Instagram) and designated Sponsor events. The top ten (10) schools per Cluster with the most votes will win a CIG and move forward in the Program to submit a proposal for a campus improvement project.

To better equalize each Respondent’s opportunity to submit a Proposal, the Program has adopted a “Cluster System,” as explained below.

Under the Cluster System, each accredited HBCU is assigned to one of three groups (“Clusters”) based on school size/enrollment data. Respondents will be divided into the following three Clusters (“Cluster Assignment”):

  • Cluster 1, which includes those Respondents with a student enrollment of 4,000 or more;
  • Cluster 2, which includes those Respondents with a student enrollment between 1,201 and 3,999;
  • and Cluster 3, which includes those Respondents with a student enrollment of 1,200 or less.

Sponsor will make Cluster Assignments using data provided on the online application and National Center for Education Statistics. Sponsor reserves the right to request enrollment verification. Sponsor also reserves the right, in its sole discretion, to modify the Cluster Assignment criteria listed above (via increase or decrease of the necessary student enrollment figures of a Cluster or Clusters) based on the total number of Respondents, toward fulfilling the goal of better equalizing the CIG selection chances amongst the Respondents. 

Online voting will begin Monday, February  27, 2023, at 12:00 a.m. (midnight) EST and end Sunday, March 26, 2023, at 11:59 p.m. EST (“Voting Period”). During the Voting Period, visitors can vote for a participating Respondent via the website (“Site”) or via social media (“Social Media Votes”). Votes are cumulative (i.e., they reflect all votes from the beginning of the Voting Period). Site voting will be unlimited during the Voting Period through the Site. Please note, all votes are subject to Sponsor verification. 

Social Media Votes are defined as those votes that use the school’s unique designated hashtag on Twitter, and/or Instagram. Social media votes inclusive of photos must not be lewd or offensive in nature. The user’s account must be public in order for the vote to be counted. Twitter original tweets and retweets count as votes. Twitter votes are capped at 2,400 per day per user. Instagram votes are counted if it is in the form of an original in-feed post and an original story. Only the first mention of a hashtag in an approved post or story will count as 1 vote. Multiple mentions of a hashtag in a single post or story will only count as 1 vote. Neither Instagram nor Twitter is a sponsor of this Program and does not endorse or otherwise have anything to do with this Program. 

Special Bonus Vote periods may be made available at the sole discretion of Sponsor. 

Manual in person voting during Sponsored events may be a method of voting in the sole discretion of Sponsor (“Manual Votes”).

Each Respondent’s votes received via the Site, social media votes from the Voting Period, and Manual Votes, if any, will be combined to determine that Respondent’s total online voting score (the “Cumulative Online Voting Score”). The Cumulative Voting Score will be posted on the Site based on Cluster Assignment. On Monday, May 1, 2023, the top ten (10) Cumulative Voting Score recipients per Cluster will be invited to submit a Proposal. Respondents eligible to submit a Proposal will be notified in writing. Sponsors reserve the right to verify final Cumulative Voting Scores prior to inviting the top thirty (30) Respondents to participate in the Proposal phase (as set forth more fully below). Sponsors final determination of verified Cumulative Voting Scores is final. All votes are subject to Sponsor verification. Once Respondents are invited to move forward in the Program, all proposals must be submitted based on instructions listed below. 

Any Respondent or individual who, at the sole discretion of Sponsor, abuses or benefits from the abuse of the voting process in any way, including, without limitation, mass robotic voting, scheduled voting /scheduled votes (defined as a Respondent or individual scheduling votes to go live on specific dates and/or times using various social media scheduling platforms), votes generated by a script or macro, use of automated devices or the use of multiple voter or email accounts or other fraudulent means, as determined by Sponsor, may be disqualified from the Program or from further voting, and may have all of their prior votes disqualified. Individuals who abuse the voting process to benefit any Respondent, but do so without direction, request, authority, or other indicia of approval from the benefiting Respondent, in Sponsor’s sole discretion, may still subject any such Respondent to disqualification. Accordingly, all Respondents are strongly encouraged to regularly caution their supporters against voting abuses of any kind.

CAMPUS IMPROVEMENT GRANT PROPOSAL SUBMISSION INSTRUCTIONS
a. Please note, this phase is only applicable to the top ten (10) vote receivers per cluster. 

b. On Monday, May 1, 2023, an eBlast will be sent to the School Administrator regarding access to the web portal for Proposal submissions. This eBlast will contain a hyperlink to the web portal – all CIG Proposals should be submitted to Sponsor via the web portal link in the eBlast no later than Sunday, May 26, 2023, at 11:59 p.m. 
Proposals must include, without limitation, full descriptions, and budget for the Project. Full Proposals must be received by Sunday, May 26, 2023, at 11:59 p.m. EST. 

c. The Sponsor’s clock is the official time clock of the Program. Proof of submission does not constitute proof of receipt.

CAMPUS IMPROVEMENT GRANT PROPOSAL REQUIREMENTS 
All CIG Proposals must be submitted in English. Each Proposal must be accompanied by up to six (6) images in JPEG (max size 5MB), GIF, PNG and TIFF format, and/or one (1) video (max size 50MB), MOV, MP4, M4V or WMV format. Proposals must be the original work of the Respondent and may not have been previously published, released or distributed in any form, or may not have won any award outside of the Program. Addendums and/or extensions to a Respondent’s prior winning proposal are eligible for submission into the 2023 Program, as long as the work associated with Respondent’s prior winning proposal is complete (see the Eligibility section (c) for proof of completion requirements). 

All Proposals must include the following: 

a. A detailed written description (150 words or less) of a proposed project for your campus (the “Project”). 

  • Project description should provide an explanation of how and why the Project will transform and benefit Respondent’s campus using resources available through The Home Depot. Sample projects include replacing kitchen appliances, light fixtures or windows; refurbishing bathrooms, including plumbing and electrical work; painting exterior walls; replacing roof or HVAC systems; or professional grading of fields. The foregoing list is not exhaustive; Projects must be sustainable and/or provide long-term benefit to the campus.
  • Project description should provide a budget for the project, which includes, but is not limited to: 1) Grants must be used for campus improvements that are positive, sustainable and/or provide long-term benefit to the student body. 2) Projects must be completed based on the grant award budgeted amount which is no more than $40,000 – $150,000 respectively.

b. A timeline for the project, including proposed start date and length of time to complete the project.

c. Sponsor reserves the right to reject a Proposal that does not meet these minimum standards and require Respondent to resubmit the Proposal or risk forfeiting eligibility for a CIG.

CAMPUS IMPROVEMENT GRANT PROCEDURES 
A total of thirty (30) grants are available to be awarded. Subject to the above-described criteria, the following grants are available for qualifying Proposals: Ten (10) CIG ranging between $40,000 – $150,000 per Cluster. Each Respondent is eligible to receive only one CIG. In each of the three Clusters, the first-place winner will receive $150,000, second place will receive $100,000, third place will receive $80,000, fourth and fifth place will receive $60,000 each, sixth and seven place will receive $50,000 each, and eighth to tenth place will receive $40,000 each. Grants are awarded in the form of a The Home Depot Gift Card (“Gift Cards”). Gift Cards are only redeemable for products and services sold at The Home Depot stores and are distributed directly to the Respondent’s designated partner store location. Sponsor reserves the right to award fewer Grants, or not to award any Grants, if, in its sole and absolute discretion, it does not receive a qualified Proposal. All Grantees may be required to execute a grant award agreement (“Grant Award Agreement”) that will detail the terms and conditions of the Grants. ANY AND ALL TAXES ARE THE SOLE RESPONSIBILITY OF THE GRANTEE. All properly claimed prizes will be awarded. Project development forms and Store Quote, as provided upon notification of award, must be completed by all winners in conjunction with their designated local Home Depot store for a Grant to be released.

INNOVATION LOUNGE GRANT
As a part of the 2023 Program, Respondents have the opportunity to apply for an additional grant to win an Innovation Lounge Grant (“ILG”) for their campus. This grant is a separate grant from the CIG. You do not have to apply for, or win, a CIG to apply for the ILG. ILGs will be awarded to Respondents on or around Wednesday, April 12, 2023 – Friday, April 28, 2023. Please note that these dates are subject to change in Sponsor’s sole discretion. On the same announcement date, Respondents will also be notified via the e-mail addressed provided in their Proposal. Winning ILG Respondents are hereinafter collectively referred to as “ILG Grantees”. Grantees can receive only one ILG.

ILGs will be provided on campus spaces where students can come together to ideate, be innovative, and problem solve. The space can also be used for students to explore entrepreneurship opportunities and conduct meetings and webinars.

Respondents are invited to submit applications through the same web portal as the CIG in accordance with the requirements set forth below. 

Ten (10) ILGs will be awarded to the Respondents based on the top 10 scores from the ILG scorecard process (as defined below under section: ILG Scorecard). The winners are not selected by Cluster and there is no specific number of winners per Cluster.

In partnership with Sponsor, Innovation Lounge projects are planned to be completed within one (1) year, unless a written extension is submitted, and approval is granted by the Sponsor. Any extension approval shall be in the Sponsor’s sole discretion. 

INNOVATION LOUNGE GRANT OFFICIAL ENTRY
Respondents must follow the same official entry rules as outlined in the Retool Your School Program Official Entry section.  

INNOVATION LOUNGE GRANT ELIGIBILITY 
Respondents must follow the eligibility rules/guidelines as outlined in the Retool Your School Program Eligibility section.  

INNOVATION LOUNGE GRANT SCORECARD
The criteria for the Innovation Lounge scoring process are as follows:

  • Articulation of need
  • Project space availability
  • Project space infrastructure
  • Innovation lounge vision
  • Plan of action for upkeep/maintenance

INNOVATION LOUNGE GRANT PROPOSAL SUBMISSION INSTRUCTIONS 

a. Please note, this phase is only applicable to the top ten (10) scorecard Respondents.

b. On or about Monday, January 9, 2023, an eBlast will be sent to the School Administrator regarding access to the web portal for ILG Proposal submissions. This eBlast will contain a hyperlink to the web portal – all applications should be submitted to Sponsor via the web portal link in the  eBlast  no later than Friday, February 10, 2023, at 11:59 p.m. 

c. The Sponsor’s clock is the official time clock of the Program. Proof of submission does not constitute proof of receipt.

INNOVATION LOUNGE GRANT REQUIREMENTS 
Applications must be submitted in English. All applications must be for an existing space and project costs will not exceed $75,000 USD. Each application must be accompanied by up to six (6) images in JPEG (max size 5MB), GIF, PNG, and TIFF format, and/or one (1) video (max size 50MB), MOV, MP4, M4V or WMV format.

All applications must include the following: 

a. A detailed written description of the space including location address and type (on campus, city, state)

b. Before photos of the space

c. A detailed written description of the vision for the space and how it will be used  

d. A detailed written description of how you want the space to look (optional to include designs)

INNOVATION LOUNGE GRANT PROCEDURES 
A total of ten (10) ILGs are available to be awarded. Subject to the above-described criteria, each Respondent is eligible to receive only one ILG. The grant amount awarded will be based on the proposed space needs and is at the sole discretion of the Sponsor. All Grantees may be required to execute a grant award agreement (“Grant Award Agreement”) that will detail the terms and conditions of the Grants. ANY AND ALL TAXES ARE THE SOLE RESPONSIBILITY OF THE GRANTEE. All properly claimed prizes will be awarded.

COMMUNITY PROJECT GRANT
As part of the 2023 Program, Respondents have the opportunity to apply for a third grant to enhance or improve an area in the community outside of their campus, the Community Project Grant (“CPG”). This grant is in addition to the CIG and ILG. HBCUs do not have to apply for a CIG or ILG in order to apply for the CPG.

The communities surrounding the campuses of HBCUs are extremely important to the school, students, alumni, faculty, and staff. This year our goal is to not just improve HBCU campuses, but their communities as well. Each Respondent must partner with a local nonprofit organization in their community to restore, beautify or service their community. This proposal does not have to be a construction improvement project like the CIG or ILG grants. It can be a service project such as a backpack drive or feeding seniors citizens.

Respondents are invited to submit applications through the same web portal as the CIG and ILG in accordance with the requirements set forth below. 

GRANT FUNDS
Three (3) CPGs at $50,000 USD each will be awarded to the Respondents with the top 3 scores from the CPG scorecard (as defined below under section: CPG Scorecard). The winners are not selected by Cluster and there is no specific number of winners per Cluster.

CPGs will be awarded to Respondents on or around Thursday, June 1, 2023. Please note that the date is subject to change in the sole discretion of Sponsor.  Winning CPG Respondents are hereinafter collectively referred to as “CPG Grantees”. Grantees can receive only one CPG. 

The CPGs will total $150,000 USD. All CPG Grantees must execute their projects within a year of notification of Respondent’s win unless a written extension is submitted, and approval is granted by the Sponsor. Any extension approval shall be in the Sponsor’s sole discretion.

COMMUNITY PROJECT GRANT OFFICIAL ENTRY
Respondents must follow the same official entry rules as outlined in the Retool Your School Program Official Entry section with the exception of the entry date. The official entry date for the CPG award is April 3, 2023.

COMMUNITY PROJECT GRANT ELIGIBILITY 
Respondents must follow the eligibility rules/guidelines as outlined in the Retool Your School Program Eligibility section.  

COMMUNITY PROJECT GRANT SCORECARD
The criteria for the CPG award scoring process are as follows:

  • Articulation of need
  • Project quality
  • Nonprofit Organization reputation
  • Project location
  • Community reach
  • Plan for execution/logistics

COMMUNITY PROJECT GRANT PROPOSAL SUBMISSION INSTRUCTIONS 
a. Please note, this phase is only applicable to the three (3) top scorecard Respondents.

b. On or about Monday, April 3, 2023, an eBlast will be sent to the School Administrator regarding access to the web portal for CPG Proposal submissions. This eBlast will contain a hyperlink to the web portal – all Proposals should be submitted to Sponsor via the web portal link in the eBlast no later than Monday, May 1, 2023, at 11:59 p.m.
Proposals must include, without limitation, full descriptions, and budget for the Project. Full Proposals must be received by Monday, May 1, 2023, at 11:59 p.m. EST. 

c. The Sponsor’s clock is the official time clock of the Program. Proof of submission does not constitute proof of receipt. 

COMMUNITY PROJECT GRANT PROPOSAL REQUIREMENTS 
All Proposals must be submitted in English.

All Proposals must include the following: 

a. The nonprofit organization with which you will partner with for the project (including their EIN) and a description of how you will partner with them.

b. A detailed written description of the project within a 25-mile radius of the campus (must be off campus).

c. A detailed written description of the vision and need for the project to benefit the community.

d. A detailed written description of how your alumni, students, faculty, and staff will participate in the project

e. Photos or videos of the project (optional).

All CPGs will be announced on or around June 1, 2023. This date is subject to change in Sponsor’s sole discretion. On the same announcement date, Respondents will also be notified via the e-mail addressed provided in their Proposal. 

COMMUNITY PROJECT GRANT PROCEDURES 
A total of three (3) CPGs are available to be awarded. Subject to the above-described criteria, each Respondent is eligible to receive only one $50,000 CPG.
CPG Grants are awarded in the form of cash via check to the nonprofit partner. The nonprofit must sign an agreement acknowledging the funds will be used for the project. All projects must be completed by December 31, 2023. Sponsor reserves the right to award fewer Grants, or not to award any Grants, if, in its sole and absolute discretion, it does not receive a qualified Proposal. All Grantees may be required to execute a grant award agreement (“Grant Award Agreement”) that will detail the terms and conditions of the Grants. ANY AND ALL TAXES ARE THE SOLE RESPONSIBILITY OF THE GRANTEE. All properly claimed prizes will be awarded. Project development forms and other documents, as provided upon notification of award, must be completed by all winners for a Grant to be released. 

CAMPAIGN OF THE YEAR AWARD
There will not be a Campaign of the Year award given for the 2023 Program year.

CONDITIONS OF PARTICIPATION 
Limit of one complete online application per HBCU for CIG, ILG, and CPG. Submission of a Proposal constitutes Respondent’s agreement to be bound by these Rules and by the decisions of the Judges and Sponsor, which are final and binding on all matters pertaining to this Program. Return of any Grants/Award notification may result in disqualification and selection of an alternate Grantee. Any potential Grantee who cannot be contacted within ten (10) days of the first attempted notification may be disqualified and forfeit any Grants to which it may be entitled. Potential Grantees may be required to sign and return an affidavit of eligibility/liability and, where legally permissible, a publicity release, and any other applicable forms required by a taxing authority within fifteen (15) days following the date of first attempted notification. Failure to comply within this time period, and any other conditions listed herein, may result in disqualification and selection of an alternate Grantee. Acceptance of the Grants constitutes permission for, and Grantee’s consent to, Sponsor and its agencies to use the Grantee’s name, the Proposal, the school’s name, seal, and logo, and to take and use photos and video footage of the project execution and Grantee’s campus (“Content”) for advertising and promotional purposes without additional compensation, unless prohibited by law. Grantees may also be required to submit a written release from any persons appearing in such Content. As a condition of participation, Grantees agree that they will make available representatives from their institution to participate in publicity and promotional activities, and events and/or press conferences held within a reasonable timeframe after the completion of the projects, including, but not limited to, taking part in a check presentation during half-time at Grantee’s home football game of Sponsor’s choice. All CIG projects must be completed on or before December 31, 2023. Grantees that do not adhere to this timeline could forfeit their ability to participate in the future. 

To be awarded a CIG, the campus facility/facilities that are the subject of the applicable Proposal must be in a minimum state of condition that would allow the planned activities in the Proposal to proceed without any necessary remedial actions (e.g., no significant mold/mildew, structural damage, or dilapidation concerns that would deem the facility/facilities unsafe) in the sole opinion of Sponsor. If a Respondent is awarded a CIG and Sponsor later discovers that the applicable facility/facilities referenced in the Proposal is not in such minimum condition, Sponsor may disqualify Respondent and revoke any awarded Grants and choose an alternate winner. 

PROMOTION OF PARTICIPATION
Respondents are permitted to promote their involvement in the Program; however, all such promotional and advertising materials must be approved in writing in advance by Sponsor. No Respondent or representative of any Respondent can take part (or agree to take part) in any media interviews or events or issue any press releases or other announcements regarding participation in the Program without the prior written consent of Sponsor. Grantees agree to distribute either direct mailings or email correspondence to Grantees’ alumni at Sponsor’s request, on Grantees’ letterheads or from Grantees’ email accounts, respectively, promoting and updating alumni on Grantees’ participation in the Program, provided, however, that Grantees agree to be designated as the official senders of such mailings. In the case of email distributions, Grantees shall comply with all applicable local, state and federal email marketing laws, including, but not limited to, the Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003. 

NO RECOURSE TO JUDICIAL OR OTHER PROCEDURES 
To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this Program are hereby excluded, and each Respondent expressly waives any and all such rights. In the event that a court of competent jurisdiction finds the foregoing waiver unenforceable, Respondents hereby consent to jurisdiction and venue residing exclusively within the federal or state courts in the state of Georgia, and agree that any and all disputes, claims and causes of action arising out of or connected with this Program or any Grants shall be resolved individually, without resort to any form of class action. Respondents agree that all issues and questions concerning the construction, validity, interpretation, and enforceability of the terms of these Rules, or the rights and obligations of Respondents and Sponsor in connection with this Program, shall be governed by, and construed in accordance with, the substantive laws of the State of Georgia, without regard to Georgia conflict of law principles. Under no circumstances will Respondents be permitted to obtain awards for, and Respondents hereby waive all rights to claim, punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, and Respondents further waive all rights to have damages multiplied or increased. 

WARRANTY, INDEMNITY AND LIABILITY 
By participating in the Program, Respondents agree to waive any right to claim any ambiguity or error in these Rules or the Program. Each Respondent certifies that its Proposal is original, that it has been authorized by its administration to apply to this Program, and that no law, rule, or regulation would prohibit Respondent from accepting a grant under this Program from Sponsor. Each Respondent further agrees not to submit any Proposal that (a) infringes any third-party proprietary information, intellectual property, industrial property, personal rights or other rights, including, without limitation, copyright, trademark, patent, trade secret or confidentiality obligation; or (b) otherwise violates any applicable law, rule or regulation. Each Respondent hereby releases and agrees to indemnify and hold harmless Sponsor, Instagram, Twitter, and each of their parents, subsidiaries, affiliates, agents, directors, officers, employees, representatives and assigns from and against any liability, claims, demands, losses, damages, injuries, costs and expenses of any kind arising from or in connection with, either directly or indirectly, from: (1) the awarding, acceptance, receipt, possession, use and/or misuse of any Grants awarded herein; (2) participation in the Program or any Program-related activities, including, but not limited to, traveling to or from any Program-related activity; and (3) any act, default or omission of the Respondent and/or a breach of any agreement, representation or warranty set forth herein including but not limited to any actual or alleged third party proprietary, intellectual property or privacy rights infringement. Sponsor is not responsible for any typographical or other error in the printing of these Rules, administration of the Program, or in the announcement of the Grants. Due to the unique nature and scope of this Program, Sponsor reserves the right to alter or modify these Rules at any time. Upon awarding a Grant to a Grantee, Sponsor will be deemed to have awarded the Grants to the Grantee with Grantee assuming full responsibility for the Grants and resulting associated project. 

DISQUALIFICATION
A Respondent may be prohibited from participating in this Program if Sponsor, in Sponsor’s sole discretion, reasonably believes that the Respondent has attempted to undermine the legitimate operation of this Program by cheating, deception or other unfair practices, or annoys, abuses, threatens or harasses any other Respondents, the Sponsor or associated agencies. Any false information provided within the context of the Program by any Respondent or noncompliance with these Rules or the like may result in the immediate disqualification of the Respondent from the Program. 

INTERNET
Sponsor is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission. Sponsor is not responsible for theft or destruction, or unauthorized access to or alterations of Proposal materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions, or limitations of any kind. Sponsor is not responsible for inaccurate transmissions of or failure to receive materials or Proposals on account of technical problems or traffic congestion on the internet or at any website or any combination thereof. If for any reason the internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, disruption or termination of the website for any reason, or any other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of this program, Sponsor reserves the right at its sole discretion to immediately cancel, terminate, modify or suspend the Program. Caution: Any attempt by a Respondent to deliberately damage any website or undermine the legitimate operation of the Program is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek damages from any such Respondent to the fullest extent of the law.

MISCELLANEOUS CONDITIONS
Sponsor reserves the right to modify these Rules at any time at its sole discretion. By participating in the Program, Respondents hereby agree that all information submitted will be subject to Sponsor’s Privacy Policy  www.homedepot.com/privacy. By applying to the Program, Sponsor may collect Respondent’s name, address, phone number and email address. We will use this information to administer Respondent’s participation in the Program. At the time you apply to the Program, we may ask Respondent’s permission to send you future marketing information from The Home Depot. We want to assure you that The Home Depot is dedicated to protecting your privacy. Respondents can contact The Home Depot or otherwise communicate their privacy concerns by:

SEVERABILITY
If any provision(s) of these Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
